Loader Points & Rewards Platform

This Loader Points Policy (“Policy”) governs the use and receipt of, and access to Loader Points (defined below) offered by Load Up Technologies LLC (“Company”, “Platform”, “we”, “us”, or “our”) to Loaders. Additionally, the LoadUp Terms of Service (including, without limitation, the limitations of liability, indemnification, class action and jury trial waiver, arbitration, and additional provisions), Third-Party Provider Terms & Conditions (available within your Loader Portal), and Privacy Policy (collectively, the “Loader Agreements”), which Loaders must agree to in order to access and use the Platform, apply to your use and receipt of and access to Loader Points, and are incorporated herein by reference.
1. Loader Points. On the LoadUp Platform, Loader Points are digital points offered to certain Loaders who meet certain criteria pursuant to this Policy, and can be used for the specific reasons outlined in this Policy and the Platform (“Loader Points”). Loader Points are divided into two categories, Reward Points and Purchased Points.
1.1. Reward Points. Reward Points are Loader Points earned through the performance and achievement of specific objectives as defined by the Platform. All Reward Points can be used for any purpose where Reward Points are used on the Platform, as described more fully below and throughout the Platform.
1.2. Purchased Points. Available exclusively to Subscribers, these points are either (1) added to the Loader’s Loader Point Balance each billing cycle for specific and active Subscription Plans, subject to the terms of the Loader Subscription Terms and Conditions (“Subscription Points”), or (2) purchased by active Subscribers via a direct one-time purchase (“Direct Purchase Points”). Only active Subscribers are eligible to purchase Direct Purchase Points. All Purchased Points can be used for any purpose where Purchased Points are used on the Platform, as described more fully below and throughout the Platform.
2. Reward Points Terms.
2.1. The Reward Points System and Eligibility. The Reward Point System is a Loader Point distribution system available to all Loaders registered, active, and enabled on the Platform.
2.2. Earning Reward Points. Reward Points may be earned and awarded through the performance and achievement of specific objectives as defined by the Platform, in the Company’s sole and exclusive discretion. These objectives and the corresponding Reward Points amounts will be communicated through the Platform or other official communication channels from time to time.
2.3. Redemption. Reward Points may be redeemed to secure priority access to orders. The redemption process, along with the required number of Loader Points for specific rewards, will be detailed on the Platform. If Purchased Points are available under your account, and you choose to redeem Loader Points, Reward Points, if available, will be redeemed only after all Purchased Points have been used.
2.4. Expiration. Reward Points expire on a rolling basis on the first of the month following the month in which they were earned. For example, reward points earned in October 20XX will be available after they are earned in October 20XX through November 20XX, and will expire on December 1, 20XX.
2.5. Modification of the Reward Point System. LoadUp reserves the right to modify, suspend, or terminate the Loader Reward Points system at any time, with or without notice. All accumulated Reward Points will be forfeited if the system is terminated. Any misuse of the Loader Reward Points system may result in penalties, up to and including account suspension and/or loss of Reward Points.
3. Purchased Points.
3.1. Purchased Points. Purchased Points are available exclusively to Subscribers, as defined in the Loader Subscription Terms and Conditions. These points are divided into two subcategories: (1) Subscription Points, which are part of the Subscriber’s Subscription Plan, and (2) Direct Purchase Points.
3.2. Purchasing Direct Purchase Points. Only active Subscribers are eligible to directly purchase Direct Purchase Points via the LoadUp Platform.
3.3. Monthly Subscription Point Distribution. Certain Subscription Plans will distribute a set amount of Subscription Points per month on the Subscription’s billing date, subject to the terms of the Loader Subscription Terms and Conditions.
3.4. Redemption. Purchased Points can be redeemed to secure priority access to orders. The redemption process, along with the required number of Loader Points for accepting an order, will be detailed on the Platform. In the event a Loader chooses to redeem Loader Points, if Purchased Points are available in the Loader Point balance, they will be redeemed before Reward Points. Only after all Purchased Points are used, will Reward Points be used for redemption if they are available.
3.5. Rollover and Expiration. Purchased Points may roll over and accumulate if not used. Rollover Purchased Points will expire on the first of the month following twelve (12) months from the date the Purchased Points were issued.
4. Redemption and Use of Loader Points.
4.1. Subject to the limitations outlined in this Policy, the Agreement and, if applicable, the Loader Subscription Terms and Conditions, Loader Points can be redeemed to accept orders on the Platform within certain time windows outlined on the Platform and under the foregoing terms.
4.2. All Loader Points, including Reward Points and Purchased Points, applicable to a specific Loader cumulate into the same Loader Point balance for that Loader. However, if Purchased Points are available in the balance, they are redeemed until depletion before Reward Points can be used. Once Purchased Points are depleted or if no Purchased Points are available, then Reward Points, if available, will be redeemed upon accepting orders using Loader Points, if the Loader chooses to redeem such Reward Points.
5. No Cash Value. Loader Points, regardless of whether they are Reward Points or Purchased Points, bear no monetary value, and their purchase is irrevocable. Points cannot be exchanged or redeemed for cash or any cash equivalents.
6. Non-transferable. All Loader Points are non-transferable and are linked exclusively to your account on the Platform. Loader Points cannot be combined or shared with other providers’ accounts.
7. Reimbursement.
7.1. Loaders are rarely entitled to a refund or re-issuance of Loader Points after the Loader Points have expired or been redeemed. However, in exceptional circumstances, a formal appeal process is available.
7.2. Appeal Process. Loader Points are eligible for appeal only in rare circumstances, which shall be reviewed on a case by case basis. To initiate an appeal, you must provide LoadUp with compelling evidence or reasoning that justifies the reimbursement of the Loader Points. The decision to reimburse Loader Points rests solely with the Company administrators and is final.
8. Penalties. Service quality is of utmost importance to LoadUp. We strive to provide our customers with exceptional experiences and believe that the services offered by our Loaders should reflect the highest standards of professionalism and quality. LoadUp reserves the right to monitor and assess the quality of service provided by all Loaders using our Platform. Should we determine that a Loader’s service quality falls below our expectations or violates any terms of this Policy or the Agreements we may take action as deemed appropriate. By way of example, this includes, but is not limited to, cases where a Loader:
8.1. Omitted critical information related to a job;
8.2. Disparaged or negatively represented the LoadUp Platform;
8.3. Intentionally sabotaged or undermined a job;
8.4. Provide poor service to customers;
8.5. Violated applicable law; or
8.6. Breached the terms of this Policy or the Agreements.
To the extent the above applies, LoadUp reserves the right, in its sole and exclusive discretion, to penalize Loaders on a case-by-case basis, which, among other actions, may include the loss of Loader Points. Please note that in cases of penalization or termination due to term violations or poor service quality, no refunds for any Loader Points or other related fees will be provided or considered.
9. Loader Point Redemption, Scope Changes, and Cancellations. By accepting an order using Loader Points, you acknowledge that you are redeeming points on the Platform to acquire non-exclusive rights to a particular order. LoadUp is not responsible for changes in the scope of work made by the customer after you accept the order, including if the customer reschedules the order and you are unable to service the rescheduled date. Loader Points will not be reissued or refunded for cancellations by customers.
10. Modification. We reserve the right to revise this Policy at any time. Revisions to this Policy are effective upon their publication and your continued use and receipt of and access to any Loader Points is indicative of your acceptance of such revised terms.
