Third-Party Provider Terms & Conditions

These Loader Subscription Terms and Conditions (“Terms”) govern the Subscription plan (“Subscription Plan”) offered by Load Up Technologies LLC (“Company”, “Platform”, “we”, “us”, or “our”). By subscribing to a Subscription Plan (“Subscription”), you (“Subscriber”) agree to the terms and conditions set forth herein, which govern access to certain of our features and services. Additionally, the LoadUp Terms of Service (including, without limitation, the limitations of liability, indemnification, class action and jury trial waiver, arbitration, and additional provisions), Third-Party Provider Terms & Conditions (available within your Loader Portal), and Privacy Policy (collectively, the “Loader Agreements”), which Subscribers must agree to in order to access and use the Platform, apply to your Subscription and are incorporated herein by reference.
1. Your Representations. In addition to the representations and warranties made in the Agreements, by purchasing a Subscription, you expressly warrant and represent that you:.
1.1. Have read, understand, and agree to be legally bound by these Terms;
1.2. Are at least eighteen (18) years old;
1.3. Reside in the United States or any of its territories;
1.4. Have the right, authority, and capacity to agree to these Terms;
1.5. Will comply with any and all applicable laws;
1.6. Will ensure your mobile device is up-to-date with all software updates; and
1.7. Will ensure you operate your mobile device on a network with adequate speed and coverage.
2. Subscription Plans. As part of the Services, LoadUp may offer certain Subscription-based offerings, which may allow subscribing Loaders to access additional features and Loader Points on the Platform. Any Subscription shall be subject to these Terms, the Agreements, and, if applicable, any supplemental subscription terms applicable to such offering, which shall be displayed and agreed upon at the time of purchase.
3. Subscription Points. The Subscription may include a provision of a predetermined amount of Loader Points (as defined in the Loader Points Policy), known as Subscription Points, each billing cycle, which, if applicable, shall be displayed and agreed upon at the time of purchase. All Loader Points, including Subscription Points, are and shall remain subject to the Loader Points Policy, which is hereby agreed upon and incorporated herein by reference.
4. Automatic Renewal and Billing. Your Subscription will automatically renew at the end of each subscription period pursuant to the agreed-upon renewal intervals (e.g., monthly, yearly) based on the original subscription date (the “Renewal Date”). By subscribing, you agree that your payment method will automatically be charged the applicable fees for the renewal period on the Renewal Date unless you cancel your subscription before the Renewal Date. All Subscription renewals will be subject to the applicable terms and conditions in effect at the time of renewal.
5. Subscription Payment.
5.1 Payment for the Subscription must be made through an approved payment method. Payments made or attempted via a method that has not been approved by the Company shall not be accepted.
5.2 You authorize the Company to send instructions to the financial institution that issued your card to take payments from your card account in accordance with these Terms.
5.3 The Subscription fee amount will be automatically charged each Renewal Date using the payment method saved in the Subscriber’s account.
5.4 Subscribers must ensure that an active payment method is always available and that sufficient funds are present for each transaction.
5.5 If payment fails, the Company reserves the right to suspend or terminate the status of the Subscription and the provision of Loader Points until due payment is made. The Subscriber will not receive any Loader Points, including Subscription Points, under the Subscription until after a successful payment is made for the applicable renewal period.
6. Direct Purchase of Loader Points. Active subscribers may also have the option to purchase additional Loader Points directly, subject to the terms of our Loader Points Policy. The cost and amount of such Loader Points available for purchase will be displayed during the purchasing process. 7. Subscription Term, Termination & Cancellation.
7.1 These Terms shall go into effect on the date you subscribe to any subscription offering and shall remain in effect until such subscription is terminated or canceled. The Subscription will automatically renew on each Renewal Date at the end of each subscription period pursuant to the agreed upon renewal intervals, which is typically on a month-to-month basis on the monthly anniversary date of the last Subscription date, unless earlier terminated or canceled by either the Subscriber or the Company.
7.2 You may cancel your Subscription at any time through the Manage Plan section of the Loader mobile application or your Loader portal before the Renewal Date to avoid future charges. However, an active Subscription is required for access to certain features and services provided to Subscribers by the Platform. By canceling your Subscription, you understand that you may lose access to certain features limiting or prohibiting your ability to use any unused Subscription Points.
7.3 LoadUp reserves the right to terminate a Subscription immediately should a breach of any of these Terms, the Agreements, or any other contractual obligations with LoadUp occur. Any termination or cancellation of any applicable subscription shall not relieve you of your obligation to pay amounts owed to LoadUp under an applicable subscription or otherwise.
8. Non-Refundable. All Subscription payments are final and non-refundable. Subscribers understand they are purchasing a predetermined amount of Loader Points and a priority access window to accept orders depending on the plan. Both the utilization of the Loader Points, including Subscription Points, and accepting orders within the Subscription Plan’s priority access window are at the Subscriber’s discretion.
9. Non-transferable. Subscribers cannot assign or transfer their Subscriptions without the Company’s written approval. Subscribers shall not permit any other user, entity, or individual to access or use their account or Subscription.
10. Modification of Terms. We reserve the right to amend these Terms at any time. Any material changes will be communicated to Subscribers via email at the address Loaders have listed under their account with LoadUp and will take effect on the next Billing Cycle.
11. Governing Law. These Terms and/or any disputes shall be governed by the Federal Arbitration Act, applicable federal law, and the laws of the State of Georgia, without regard to principles of conflict of laws.
12. Dispute Resolution. The dispute resolution terms of the Third-Party Provider Terms & Conditions (available within your Loader Portal), including without limitation, the limitations of liability, indemnification, class action and jury trial waiver, arbitration, and additional provisions, apply to these Terms and are hereby incorporated herein by reference.
13. Severability. If any portion of these Terms are found to be unenforceable, such determination shall have no effect on the remainder of the Terms, which shall continue in full force and effect.
14. Headings. Headings contained in these Terms are inserted only as a matter of convenience and reference and in no way define, limit, or describe the scope or intent of these Terms and do not affect its provisions in any way.
