Recommerce Services ~ Revenue Sharing Terms and Conditions

These Terms and Conditions (“Terms”) are entered into by and between Load Up Technologies, LLC. (“LoadUp” or “REFURN”), and you (“Customer”). These Terms outline the terms and conditions under which LoadUp will facilitate the sale of removal services for returned products from Customer to a network of qualified independent third-party contractors (“Resellers”) capable of performing such work for you. These Terms are a supplement to the Terms of Service, available at GoLoadUp.com/terms/ (the “Standard Terms”), which are incorporated herein in their entirety by this reference. These Terms only supersede the Standard Terms to the extent that these Terms directly conflict with the Standard Terms.

1. Services
LoadUp agrees to facilitate the removal of returned item(s) from Customer’s client’s location(s) through LoadUp’s network of Resellers (“Recommerce Services”).
2. Payment and Fees
LoadUp agrees to pay the Customer a fee equal to the amount listed at the time the order is placed. The amount of the fee will be based on the Manufacturers Suggested Retail Price (MSRP) of the Customer’s returned item(s) less a 3.5% administrative fee.
Fees may be adjusted based on the condition of the items and the accuracy of the order. If items are found to be in a different condition than described, or if the order details provided by the Customer are inaccurate, LoadUp reserves the right to adjust the fee or notify the Customer that the order is ineligible for Recommerce Services.
Payments to Customers will be made on a monthly basis, within 10 business days of the end of the preceding calendar month, for all orders that were successfully completed in the preceding calendar month.
3. Scheduling:
Scheduling with the Customer’s end customer will be managed directly by LoadUp. Customer is responsible for providing LoadUp with complete and accurate information regarding the end customer. Any inaccurate or incomplete information regarding the end customer may result in service delays, scheduling delays, cancellations, pricing errors, or other issues. Customers can submit any preferences regarding scheduling to LoadUp with written instruction at the time the order is placed.
4. Cancellation Fees:
In the event LoadUp successfully arranged for a Reseller to pickup the returned item(s), but the Customer cancels the service, the Customer agrees to pay a $50 cancellation fee to LoadUp.
Any applicable cancellation fees will be deducted from the monthly revenue sharing payment described in section 3 above.
5. Minimum Advertised Price (MAP) Enforcement:
Any MAP enforcement on secondary market items must be provided to LoadUp in writing and mutually agreed upon between LoadUp and the Customer.
6. Secondary Market Listing Requirements:
Customers must provide any secondary market listing requirements in writing. LoadUp commits to basic monitoring of compliance with these rules on approved resale platforms, including but not limited to Facebook Marketplace, Letgo, Craigslist, and others.
7. Listing Status Approval:
Customer hereby approves for Resellers to list purchased return items on resale marketplaces with statuses such as returned, like new, or gently used. LoadUp will provide basic monitoring and enforcement restrictions against listing items as “New” unless specifically allowed.
8. Amendment and Termination:
These Terms may be amended or terminated by either party with written notice. Upon termination, all outstanding obligations will be settled as per the terms outlined herein.
